1. Acceptance of Terms

By accessing or using Happitap's AI cost observability platform ("Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, do not use the Service. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

Happitap provides a cloud-based platform for monitoring, analyzing, and optimizing AI infrastructure costs. The Service includes:

• Real-time cost tracking and analytics
• Model performance comparison
• Error monitoring and anomaly detection
• Budget management and alerts
• Multi-tenant workspace management

3. User Accounts

3.1 Account Creation

You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activities.

4. User Obligations

You agree to:

• Use the Service only for lawful purposes and in accordance with these Terms
• Not attempt to gain unauthorized access to any part of the Service
• Not interfere with or disrupt the Service or servers

5. Payment Terms

5.1 Subscription Fees

Certain features of the Service require payment of subscription fees. You agree to pay all fees associated with your chosen plan. Fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law.

5.2 Price Changes

We reserve the right to change our pricing at any time. We will provide at least 30 days' notice of any price increases. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

5.3 Payment Methods

You must provide a valid payment method to purchase a subscription. You authorize us to charge your payment method for all fees incurred. If payment fails, we may suspend or terminate your access to paid features.

5.4 Taxes

All fees are exclusive of applicable taxes, which you are responsible for paying.

6. Intellectual Property

6.1 Our Rights

The Service and its original content, features, and functionality are owned by Happitap and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Your Data

You retain all rights to the data you submit to the Service. By using the Service, you grant us a limited license to use, store, and process your data solely to provide the Service to you.

7. Data Privacy and Security

Your use of the Service is also governed by our Privacy Policy. We implement industry-standard security measures to protect your data, but we cannot guarantee absolute security. You acknowledge that you use the Service at your own risk.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may:

• Perform scheduled maintenance with advance notice
• Suspend the Service for emergency maintenance
• Modify or discontinue features with reasonable notice

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Happitap SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from or relating to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Indemnification

You agree to indemnify, defend, and hold harmless Happitap and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Service or violation of these Terms.

12. Termination

You may terminate your account at any time by contacting us. Upon termination:

• Your access to the Service will be immediately revoked
• We will delete your data within 90 days unless legally required to retain it
• You remain responsible for any fees incurred before termination
• Provisions that by their nature should survive termination will continue to apply

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

13.2 Arbitration

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, except where prohibited by law.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Happitap regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
